The Board of Directors of Amreli Steels Limited has approved the issuance of 40 million ordinary shares at Rs 25 per share on a cash basis, amounting to a total of Rs 1 billion.
According to a notice sent to the Pakistan Stock Exchange (PSX) on Monday, the decision was made during the companyโs board meeting held on October 3, 2025. The issuance will be carried out through direct investment rather than a rights issue.
The notice stated that the new shares will be fully subscribed by Shayan Akbar Ali โ one of the companyโs existing sponsors โ at a premium of Rs 15 per share. He currently holds a 17.09% stake in the company.
Following the proposed issuance, the new shares will represent approximately 13.47% of the companyโs existing paid-up capital and 11.87% of the post-issuance total capital.
The funds raised from this issuance will be used to meet the companyโs working capital requirements and facilitate credit restructuring.
The notice added that strengthening the working capital position will improve the companyโs operating cash flows, ensure business continuity, enable efficient use of production capacity, and support overall stability. This move aims to safeguard the interests of all stakeholders and benefit minority shareholders as well.
