According to reports, Pakistan Telecommunication Company Limited (PTCL) announced on Wednesday that it has completed the acquisition of 100 percent shareholding of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited.
The company informed the Pakistan Stock Exchange (PSX) of this development through an official notice. According to the notice, PTCL acquired 100 percent shares of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited on December 31, 2025, and all shares have been formally transferred in PTCL’s name.
It is worth noting that earlier this month, the Pakistan Telecommunication Authority (PTA) approved the merger of Telenor Pakistan with Pakistan Telecommunication Company Limited (PTCL). The PTA also issued the long-pending No Objection Certificate (NOC), thereby formally approving the change of ownership.
This move has cleared the way for one of the largest corporate deals in the country’s history. According to sources, final approval was granted after a comprehensive regulatory process that continued for several months. The acquisition was carried out under a share purchase agreement signed on December 14, 2023, with the deal valued at approximately Rs108 billion (around USD 380–400 million).
Sources further stated that the transaction was closely reviewed by both the Pakistan Telecommunication Authority and the Competition Commission of Pakistan, which thoroughly examined the deal to ensure that market competition and consumer welfare would not be adversely affected.
